Goldie & Co. Video Retainer

1. Scope of Services

Goldie & Co. provides ongoing video content services on a retainer basis.

Each monthly cycle includes:

• One (1) 2-hour content capture session
• Delivery of up to four (4) short-form video assets

Content is created for social and digital platforms and is intended to support consistent brand presence rather than campaign or launch activity.

2. Term

This Agreement has a minimum term of three (3) months.

Following the initial term, the Agreement will continue on a month-to-month basis unless cancelled by either party with 30 days' written notice.

3. Payment

The retainer fee is $750 NZD + GST per month, invoiced monthly in advance.

Payment is required prior to commencement of each monthly cycle.

Invoices are due within 7 days unless otherwise agreed in writing.

Overdue invoices may incur interest at a rate of 15% per annum, calculated daily.

4. Scheduling

Monthly content capture sessions are scheduled by mutual agreement.

Unused sessions or deliverables do not roll over to subsequent months.

If a session is postponed due to availability, weather, or unforeseen circumstances, both parties will make reasonable efforts to reschedule within the same month.

5. Revisions

Each video includes one (1) light revision, intended for minor timing or content adjustments.

Revisions do not include changes to direction, concept, or additional filming.

Any additional revisions or changes outside scope may be declined or billed separately.

6. Creative Control & Style

The Client acknowledges that they are engaging Goldie & Co. for its creative judgment, editorial direction, and stylistic approach.

While feedback is welcomed within the revision allowance, Goldie & Co. retains final creative discretion to ensure consistency and quality.

7. Delivery

Delivery timelines are agreed on a month-by-month basis and depend on session scheduling and feedback turnaround.

Final deliverables are released once all outstanding invoices for the relevant period are paid in full.

8. Out of Scope

The following are not included in this Agreement unless separately agreed in writing:

• Paid advertising management
• Campaign strategy or reporting
• Website development or maintenance
• Photography
• Additional filming days
• Urgent or off-cycle requests

9. Cancellations

The initial three-month term is non-cancellable.

After the initial term, either party may terminate the Agreement with 30 days' written notice.

Fees paid for completed or active billing periods are non-refundable.

10. Usage Rights

Upon full payment, the Client is granted a non-exclusive licence to use the delivered video content for marketing and promotional purposes.

Goldie & Co. retains the right to display the work for portfolio, website, and promotional use, unless otherwise agreed in writing.

11. Limitation of Liability

Goldie & Co. is not liable for:

• Platform or distribution performance
• Third-party disruptions
• Loss of business, revenue, or opportunity

Liability is limited to the total fees paid under this Agreement.

12. Acceptance

By approving this Agreement, paying an invoice, or continuing with services, the Client agrees to these terms.
